Zarkili Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Mogy LLC ("Zarkili," "we," "us," "our"), governing your access to and use of the Zarkili application and website (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. Continued use of the Service after a change to these Terms takes effect constitutes acceptance of the revised Terms; for material changes, we will provide notice and, where required, seek renewed acceptance before the change applies. If you do not agree to these Terms, do not use the Service.


1. Acceptance and eligibility

By using the Service, you represent that you have the legal capacity to enter into a binding agreement.

If you are registering a Salon account, you represent that you have the authority to bind the business you are registering on behalf of to these Terms and to the subscription obligations in Section 5.


2. The Service

Zarkili is a multi-tenant software platform that lets independent nail salons ("Salons") manage appointment booking, a client loyalty/rewards program, direct messaging with their clients, and related business operations, and lets those Salons' own clients ("Salon Clients") book appointments, communicate with the Salon, and track their own loyalty status. Zarkili also separately provides subscription billing for Salons through Stripe (Section 5).

Zarkili is the operator of the platform. Zarkili is not itself a nail salon, does not provide beauty services, and is not a party to the service relationship between a Salon and its clients — see Section 7.


3. Two kinds of accounts, different terms

The Service has two distinct account types, and different parts of these Terms apply depending on which one you hold:

Sections 1, 2, 4, 6, 7, 8–17 apply to both account types. Section 5 (subscription/billing) applies only to Salon accounts.


4. Acceptable use

You agree not to, and (if you operate a Salon account) not to permit your staff to:

5. Subscription and billing (Salon accounts)

5.1 Plan and price

As of this writing, Zarkili offers a single flat-fee subscription plan for Salon accounts (currently $10/month USD). We may introduce additional plans or change pricing in the future with advance notice to existing subscribers.

5.2 Payment processing

All billing is handled by Stripe. When you subscribe, you will be redirected to Stripe's own hosted checkout page to enter your payment details — Zarkili's application never collects, sees, or stores your card number or other raw payment card data. Managing your payment method, viewing invoices, and cancelling your subscription are also done through Stripe's own hosted billing portal, accessible from within the app.

5.3 Free trial

New Salon subscriptions include a 30-day free trial. A valid payment card is required at signup to start the trial, and your card will be automatically charged the subscription price when the 30-day trial ends, unless you cancel before then.

Each Salon account is eligible for one free trial. As implemented today, a Salon that has already completed a paid billing period is not offered a second trial if it re-subscribes after cancelling.

5.4 Cancellation and what happens to your access

You may cancel your subscription at any time through Stripe's billing portal. Cancelling does not end your access immediately — your Salon account keeps full access through the end of your current paid billing period. After that period ends, your account moves to a read-only, locked state: you (the Salon admin) retain read access to your own historical data, but your clients can no longer book new appointments through the Service, and you cannot access features gated behind an active subscription.

5.5 Refunds

Subscription fees are billed monthly in advance and are non-refundable, including for partial billing periods, except where required by applicable law. If you cancel your subscription (Section 5.4), you will not be charged again after your current paid billing period ends, but the amount already paid for that period is not refunded — your Salon account instead keeps full access through the end of that period, consistent with Section 5.4.

Because a valid payment card is required to start your 30-day free trial (Section 5.3) and that card is not charged until the trial ends, cancelling before the trial ends is how you avoid being charged in the first place, rather than requesting a refund afterward. As implemented today, we have no automated or manual mechanism to issue a partial or prorated refund for an active billing period.

If you believe you were charged in error, contact us at support@mobendo.com and we will review it individually. Nothing in this section limits any refund right you have under applicable law that cannot be waived by agreement.


6. User-generated content

The Service lets you upload and share certain content: booking reference photos, message attachments, and (for Salon accounts) a photo gallery and branding assets. Note: the Service does not currently include a public review, rating, or testimonial feature.

Ownership: you retain ownership of content you upload. License to us: by uploading content, you grant Zarkili a limited, non-exclusive license to host, store, transmit, and display that content solely as necessary to operate the Service for you and the other party to the relevant booking or conversation (e.g., a photo you attach to a booking is visible to your Salon; a photo your Salon posts to its gallery is visible to that Salon's clients).

Responsibility for content: you are solely responsible for content you upload, and you represent that you have the right to upload it and that it does not violate these Terms or any law.

Removal: we may remove content that violates Section 4 (Acceptable Use). Deleting your account (Section 13) removes content you personally uploaded that is still tied to your account, consistent with the erasure mechanism described in the Privacy Policy — some content tied to a Salon's own business records (e.g., a booking's price and date) may persist in de-identified form even after your personal content is removed, exactly as described in the Privacy Policy's erasure section.


7. The Salon–Client relationship is between you, not Zarkili

If you are a Salon Client, your actual beauty-service relationship — the appointment itself, its quality, pricing, cancellation policy, and any dispute about the service performed — is between you and the Salon, not Zarkili. Zarkili is the software platform the Salon uses to manage that relationship; we are not a party to it, do not employ the Salon's staff, and do not control the Salon's business practices, pricing, or service quality.

If you are a Salon, you are solely responsible for your own compliance with laws applicable to your business (health/safety regulations, consumer protection, your own tax obligations, and your own privacy obligations to your clients as their data controller — see the Privacy Policy Section 6).


8. Multi-tenant data handling (cross-reference)

How Zarkili handles data across different Salons, and the controller/processor relationship between Zarkili and each Salon for that Salon's clients' data, is described in the Privacy Policy, Section 6, which is incorporated into these Terms by reference.


9. Disclaimers of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable law. Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your specific requirements. We do not currently offer any uptime or service-level (SLA) commitment, and we have not completed an independent third-party security audit or obtained a formal security certification such as SOC 2 or ISO 27001 — see the Privacy Policy, Section 7, for the full description of our current security posture. This disclaimer does not affect any statutory right or warranty that applicable law does not permit us to disclaim.


10. Limitation of liability

To the maximum extent permitted by applicable law, Zarkili (Mogy LLC) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you, or your Salon, paid us in the 12 months preceding the event giving rise to the claim. Nothing in this section limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.


11. Indemnification

If you hold a Salon account, you agree to indemnify and hold Zarkili (Mogy LLC) harmless from any claim, liability, damages, and expense, including reasonable legal fees, arising from: (a) your use of the Service in violation of these Terms; (b) content you upload or your own business's conduct toward your clients; or (c) your violation of any law or of a third party's rights in connection with your use of the Service. This section applies to Salon accounts as the operating business responsible for their own service to their clients; it does not apply to Salon Client accounts, consistent with the distinction drawn in Section 3.


12. Suspension

We may suspend a Salon account's access for violation of Section 4 (Acceptable Use), non-payment (Section 5), or as required by law. As implemented today, suspending a Salon account sets it to inactive; it does not delete the Salon's data — clients, bookings, and all other records remain intact and become accessible again if the account is reactivated. There is currently no "delete my salon" feature in the product.


13. Termination

By you (Salon Client): you may delete your own account at any time via Profile → "Delete Account" in the app. This anonymizes your personal identifying information and deletes your own uploaded photos/attachments, exactly as described in the Privacy Policy's erasure section (Section 9 of the Privacy Policy) — certain de-identified historical business records are retained by the relevant Salon(s), as described there.

By you (Salon): you may cancel your subscription at any time (Section 5.4); there is currently no self-service "delete my Salon account entirely" feature — cancellation results in the locked/read-only state described in Section 5.4, not deletion.

By us: we may suspend or terminate your access for violation of these Terms, as described in Section 12, or discontinue the Service generally with reasonable notice.


14. Changes to the Service

We may modify, add to, or discontinue features of the Service at any time. We will provide reasonable notice of material changes affecting Salon subscribers where practicable.


15. Governing law and dispute resolution

If you hold a Salon account, these Terms are governed by the laws of Mogy LLC's state of formation, without regard to conflict-of-laws principles, and any dispute will be resolved in the state or federal courts located in that state, which you consent to as the exclusive venue.

If you are a Salon Client who is a consumer resident in the European Union, nothing in this section deprives you of the protection of any mandatory consumer-protection law of your country of residence, including your right to bring proceedings in the courts of that country, to the extent applicable law requires this — it applies notwithstanding anything above.


16. Privacy

Our collection and use of personal data is described in the Zarkili Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to the Privacy Policy.
